Terms and Conditions

1. Scope and Acceptance

1.1. These Terms and Conditions (the “Terms”) apply to all quotations, offers, sales, and deliveries of shipping containers and related services by Reliable Containers (“Reliable”, “we”, “us”, “our”) to any purchaser (“Buyer”).
1.2. “Container(s)” means any new, one-trip, or used ISO shipping container or accessory offered by Reliable.
1.3. Any terms proposed by Buyer that add to, conflict with, or differ from these Terms are rejected. No modification is binding unless agreed in a written document signed by Reliable.
1.4. By placing an order, clicking “I agree”, paying an invoice, collecting, or accepting delivery, Buyer accepts these Terms.

2. Products and Condition

2.1. Reliable supplies new, one-trip, and used containers. Used containers may show wear, including surface rust, patched areas, repairs, scratches, dents, prior markings, and repainting.
2.2. Images and models are illustrative. Reasonable variances in colour, dimensions, and weight are not grounds for nonconformity claims.
2.3. Unless expressly stated, containers are sold for static storage use. Use for international freight requires Buyer to verify suitability and obtain any required inspections or certifications.

3. Ordering and Account Information

3.1. Ordering steps: select container(s), choose pick-up or delivery, confirm price, accept these Terms, and pay.
3.2. Buyer is responsible for accurate information, including delivery address, site contact, and access details. Costs arising from inaccurate information or missed delivery are for Buyer’s account.
3.3. Once payment is made, orders proceed to fulfillment and cannot be cancelled, except where required by law or expressly agreed by Reliable.

4. Pricing, Taxes, and Payment

4.1. Prices are in Canadian dollars unless stated otherwise. Applicable GST/HST, and where applicable PST or QST, will be added.
4.2. Delivery, offloading, special equipment, permits, tolls, ferry, border, port, and yard fees are extra unless expressly included.
4.3. Payment is due at checkout or as stated on invoice. Delivery or pick-up will occur only after cleared funds. If payment is reversed or charged back, Reliable may suspend delivery, reclaim the container, or pursue remedies under Section 12.
4.4. Late payments may accrue interest at the lesser of 1.5 percent per month or the maximum permitted by law, plus collection costs.

5. Delivery, Pick-up, Risk, and Title

5.1. Delivery options:
(a) Pick-up (EXW depot). Buyer or its carrier collects from Reliable’s designated depot at an agreed time.
(b) Delivery to site by a third-party carrier engaged by Reliable. Buyer may request a preferred date and Reliable will use reasonable efforts to meet it.
5.2. Risk of loss transfers to Buyer:
(a) on loading to Buyer’s truck for EXW pick-up, or
(b) on offload at Buyer’s site for delivery service.
5.3. Title passes only when Reliable receives full, irrevocable payment for the container(s) and all related charges.
5.4. Delivery windows are estimates. Reliable is not liable for delay or non-delivery caused by depot congestion, carrier issues, weather, road closures, strikes, force majeure, or Buyer site conditions.
5.5. Delivery Requirements. Buyer must ensure: safe, legal access for a tilt-bed, roll-off, Landoll, or hotshot truck; level, compact ground; adequate space to maneuver and offload; and a site contact on-site. If the driver deems conditions unsafe, the delivery may be aborted. Redelivery, standby, wait time, failed delivery, or site remediation costs are for Buyer’s account.
5.6. If Buyer fails to accept delivery or pick-up within 30 days of notice of readiness, Reliable may store at Buyer’s risk and expense, re-sell, or cancel the order and retain reasonable costs and losses.

6. Inspection and Acceptance

6.1. Buyer must inspect the container at delivery or pick-up with the driver or depot staff.
6.2. If Buyer believes the container fails the Reliable Quality Standard in Section 7, Buyer must notify Reliable in writing within 5 business days of delivery or pick-up, include photos, container number, location, and a description of the issue.
6.3. If no timely notice is received, the container is deemed accepted as delivered.

7. Quality Standard and Remedy

7.1. At the time risk transfers under Section 5.2, used containers supplied for storage use will be wind and watertight. That means no holes or light penetration through the shell, functional doors that open and close and latch, intact door seals, and a floor without through-holes.
7.2. Normal cosmetic wear on used units, including surface rust, professional overlay patches, scratches, dents, previous logos, or repainting, is not a defect if wind and watertight integrity is maintained.
7.3. Exclusive remedy. If Reliable verifies a failure of the Quality Standard reported under Section 6.2, Reliable will, at its option, repair the defect, replace the container with a comparable unit, or refund the container purchase price.
7.4. This Quality Standard is in lieu of any money-back guarantee unless Reliable offers one in writing on the order.

8. Returns

8.1. Returns are only permitted with Reliable’s prior written consent and an issued Return Authorization.
8.2. Authorized returns must be in the same condition as at delivery, normal transport wear excepted.
8.3. Transport for returns will be arranged as agreed. Unless Reliable confirms the return is under Section 7.3, return freight and related costs are for Buyer’s account.

9. Site Conditions, Permits, and Compliance

9.1. Buyer is responsible for site readiness, grading, permits, setbacks, utility locates, and compliance with municipal bylaws, HOA or condo rules, building and fire codes, and provincial regulations.
9.2. Reliable and the carrier may refuse to deliver or offload if conditions are unsafe, unlawful, or likely to damage equipment or property.

10. Warranties and Disclaimers

10.1. Except as stated in Section 7, the containers are provided “as is”. Reliable disclaims all other warranties, express or implied, including merchantability and fitness for a particular purpose.
10.2. Buyer is responsible for suitability for any specialized use, including human occupancy, stacking, structural modifications, refrigeration, or international freight certification.

11. Limitation of Liability

11.1. Reliable’s total liability arising out of or related to the sale shall not exceed the amount Buyer paid for the specific container giving rise to the claim.
11.2. Reliable is not liable for indirect, incidental, consequential, special, exemplary, or punitive damages, including loss of profits, loss of use, delay, downtime, or business interruption, even if advised of the possibility.
11.3. These limits apply to the fullest extent permitted by Canadian law.

12. Security Interest and Remedies

12.1. Until paid in full, Reliable retains a purchase money security interest (PMSI) in the container(s) and proceeds. Buyer authorizes Reliable to register financing statements under the Personal Property Security Act of applicable provinces.
12.2. If Buyer defaults, Reliable may exercise all PPSA remedies, including repossession without court order where permitted by law, and set-off against any amounts owed.

13. Force Majeure

13.1. Reliable is not liable for failure or delay caused by events beyond its reasonable control, including labour disputes, epidemics, supply chain disruption, carrier failures, accidents, natural disasters, acts of God, government actions, embargoes, road closures, and utility outages. Performance is suspended for the duration of the event or the affected order may be cancelled without liability.

14. Privacy

14.1. Personal information is handled in accordance with our Privacy Policy and applicable law, including PIPEDA. Buyer should review the Privacy Policy before submitting information.

15. Taxes and Declarations

15.1. Buyer is responsible for all applicable GST/HST, PST/QST where applicable, duties, permits, and fees. If Reliable advances any such amounts, Buyer will reimburse them upon demand.

16. Indemnity

16.1. Buyer will indemnify and hold harmless Reliable, its affiliates, and their directors, officers, employees, and agents from claims, losses, and costs arising from Buyer’s use, placement, modification, transport, or resale of the container, Buyer’s breach of these Terms, or Buyer’s negligence or willful misconduct.

17. Governing Law and Disputes

17.1. These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein.
17.2. The parties attorn to the exclusive jurisdiction of the courts of Ontario, sitting in Toronto, for all disputes, except that Reliable may seek injunctive or PPSA remedies in any competent court.

18. Notices

18.1. Formal notices must be in writing and sent to the addresses on the order or as updated in writing. Email notices are effective when confirmed received or on the next business day.

19. Changes to Terms

19.1. Reliable may update these Terms from time to time. The version posted on our website at the time of order applies to that order. Material changes will be indicated by a revised effective date.

20. Miscellaneous

20.1. No waiver of any breach is a waiver of any other breach. If any provision is found invalid or unenforceable, the remaining provisions remain in full force.
20.2. These Terms, together with the order, invoice, and any written delivery requirements issued by Reliable, form the entire agreement and supersede prior discussions. Buyer has not relied on any representation not set out in these documents.
20.3. Buyer may not assign its rights or obligations without Reliable’s prior written consent. Reliable may assign to an affiliate or in connection with a business transaction.
